Chief Counsel & Board Secretary (1207)

Position Overview:

The Chief Counsel & Board Secretary position is an executive-level position in the Aramco Trading Americas’ (ATA) office, reporting directly to the Managing Director.  The successful candidate will serve as the principal legal advisor to the ATA executive team and ATA Board of Directors.  The Chief Counsel is an Officer position, responsible for the legal affairs of the company, including advising on legal matters and legal risks and providing legal opinions and counsel for the purpose of addressing and managing any and all legal exposures, so that the company is complying with applicable laws and regulations. This role will manage a team of U.S.-based attorneys and paralegal staff as well as serve as the liaison to the Aramco Trading global legal organization.

Responsibilities:

The role will be accountable for the following:

  • Manage and oversee all day-to-day legal matters in support of ATAs commodity business, including front, mid and back office workstreams.
  • Evaluate and manage legal risks associated with strategic initiatives and transactions, both domestic and international.
  • Serve as compliance advisory for all regulatory and corporate compliance matters.
  • Serve as tax advisory on all tax matters impacting the company.
  • Manage and oversee any company litigation, arbitration, and investigations.
  • Collaborate with senior leadership to drive organizational goals and objectives.
  • Management and oversight of outside counsel in all company matters.
  • Management of legal budget and key performance indicators related to the Legal organization.
  • Serve as the Board Secretary, which includes management of all corporate secretariate workstreams, organizing and conducting Board meetings and related administrative and board governance matters.

Basic Qualifications:

  • Juris Doctor Degree
  • 15 – 20 years litigation experience
  • Active member of State Bar of Texas
  • Outside law firm experience in the energy commodity space
  • Global experience supporting a multi-jurisdictional business
  • Must be willing to work in an office environment located in downtown, Houston, TX

Additional Information:

  • Local candidate preferred, relocation not offered for candidate outside of commuting distance
  • Some travel required
